Aarti Industries' step-down subsidiary Shanti Intermediates ceases after stake sale

Aarti Industries Limited has informed the stock exchanges that Shanti Intermediates Private Limited has ceased to be a step-down subsidiary. Aarti Corporate Services Limited, a wholly owned subsidiary of Aarti Industries, completed the sale of its entire 100 per cent equity stake in Shanti Intermediates Private Limited, resulting in the cessation of the step-down relationship.

The entire equity stake was sold to Mr. Vallabh Bachubhai Trada and Ms. Rekha Vallabhbhai Trada. The sale agreement was executed on June 23, 2026, and the transaction was completed on the same day. The total consideration received from the stake sale amounted to Rs 1.50 crore.

The transaction qualifies as a related party transaction and has been conducted at arm's length. The buyers are not part of the promoter or promoter group of Aarti Industries. Aarti Industries confirmed that the sale was not undertaken through any scheme of arrangement.

For the financial year ended March 31, 2026, Shanti Intermediates Private Limited reported a total income of Rs 8.81 crore. This amount accounted for 0.11 per cent of Aarti Industries' consolidated income for the same period. The entity's net worth stood at a negative Rs 1.48 crore, representing negative 0.02 per cent of the consolidated net worth as of the reporting date.

With the completion of this transaction, Shanti Intermediates Private Limited has ceased to be a step-down subsidiary of Aarti Industries Limited. Aarti Industries disclosed the development to the exchanges under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, read with the applicable SEBI circular.
