Adani Enterprises subsidiary AACL to acquire 100% stake in Portus Ventures

Adani Enterprises Limited has informed the exchanges that its wholly owned step-down subsidiary, Adani Airport City Limited (AACL), executed a Share Purchase Agreement (SPA) on June 8, 2026, to acquire 100% equity shares of Portus Ventures Private Limited (PVPL). The SPA was signed with PVPL and its existing shareholders on the same day, with information received by Adani Enterprises at 5:40 PM.

The acquisition consideration is Rs 0.014 crore in cash, and the transaction is expected to be completed by June 17, 2026. AACL will acquire the entire equity stake comprising all outstanding shares of PVPL. The acquisition does not constitute a related party transaction and requires no government or regulatory approvals for completion.

PVPL is incorporated in Gujarat with an authorised share capital of Rs 1,00,000 and paid-up capital of Rs 1,00,000. The company was incorporated on April 2, 2024, and is yet to commence business operations, reporting nil turnover. PVPL belongs to the real estate, hotels, motels, and resorts industry.

PVPL's objects include undertaking real estate activities with owned or leased property, construction of buildings on own account or on a fee or contract basis, and operating hotels, motels, and resorts providing short-term lodging facilities. The acquisition will allow AACL, a wholly owned step-down subsidiary of Adani Enterprises, to expand into the real estate and hospitality segments.

Adani Enterprises filed the disclosure with BSE and NSE under Regulation 30 of the SEBI Listing Regulations. AACL is a wholly owned step-down subsidiary of Adani Enterprises Limited.
