Adani Enterprises Limited disclosed that AdaniConneX Private Limited, its joint venture, has acquired 100% equity stake in Madhuvanti Build Estate Limited. The transaction was completed on June 11, 2026.
Madhuvanti Build Estate Limited is incorporated in India and registered with the Registrar of Companies, Gujarat at Ahmedabad. Madhuvanti Build Estate was incorporated on November 11, 2019, and operates in infrastructure development activities. Madhuvanti Build Estate has an authorised share capital of Rs 10,000 and paid-up share capital of Rs 10,000.
Madhuvanti Build Estate has not yet commenced commercial activities and its turnover is nil. Madhuvanti Build Estate owns a sizeable land parcel and holds key licenses to commence infrastructure activities, which gives AdaniConneX a head start.
Adani Infra (India) Limited was the seller in the transaction. AdaniConneX acquired the 100% equity stake at a purchase consideration of Rs 765.25 crore, paid through cash consideration against shares. The transaction has been completed.
The acquisition is at arms' length basis and is not a related party transaction for Adani Enterprises Limited as per SEBI LODR provisions. Madhuvanti Build Estate is controlled directly or indirectly by the promoter or promoter group of Adani Enterprises. No governmental or regulatory approvals were required for the acquisition.
The disclosure was filed with BSE and National Stock Exchange of India under Regulation 30 of SEBI Listing Regulations. Adani Enterprises received information on the acquisition on June 11, 2026. The object of the acquisition is to set up infrastructure facilities.
