Adani Enterprises completes acquisition of Portus Ventures through subsidiary AACL

Adani Enterprises Limited has informed the stock exchanges that its wholly owned step-down subsidiary, Adani Airport City Limited, has completed the acquisition of 100% of the equity share capital of Portus Ventures Private Limited. The acquisition was completed on June 10, 2026, in accordance with the terms of the share purchase agreement that was executed between the parties on June 8, 2026.

AACL had entered into the SPA on June 8, 2026, with PVPL and the existing shareholders of PVPL for the acquisition of the entire shareholding in the target company. Adani Enterprises Limited received the intimation of the acquisition completion from AACL on June 10, 2026, at 6:13 PM IST.

Adani Enterprises Limited had previously disclosed the execution of the SPA and the proposed acquisition in an intimation to the exchanges dated June 8, 2026. The disclosure was made pursuant to Regulation 30 of the SEBI Listing Regulations read with Part A of Schedule III, which governs the disclosure of material events by listed entities.

AACL is a wholly owned step-down subsidiary of Adani Enterprises Limited. The acquisition of the entire equity share capital of PVPL has been completed in accordance with the terms and conditions agreed upon in the SPA. The filing confirmed that the transaction has been consummated under the definitive agreement between the involved parties.
