Adani Ports and Special Economic Zone Limited has entered into a Share Purchase and Subscription Agreement with Mundi Limited under which Mundi will invest USD 1.397bn for a 49% interest in Adani Vizhinjam Port Private Limited. The transaction represents the single largest foreign private investment in Indian port infrastructure and deepens the long-term partnership between APSEZ and MSC Group.
Adani Vizhinjam Port Private Limited reported income of Rs 843.19 crore and share capital of Rs 897.00 crore during the last financial year. The subsidiary's net worth stood at Rs 2,813.98 crore as on March 31, 2026, reflecting operational performance at the strategic port facility.
Terminal Investment Limited, the container terminal operating and investing arm of Mediterranean Shipping Company, will invest USD 1.397bn equivalent to its proportionate 49% share of the total USD 2.85bn deal value. This investment MSC Group's confidence in Vizhinjam's growth potential and position as a dominant transshipment gateway in the Indian Ocean region.
The transaction is subject to customary approvals, including regulatory ones, and AVPPL will continue as a 51%-49% subsidiary structure with APSEZ retaining majority board representation. The partnership marks the third major collaboration between APSEZ and MSC following successful joint ventures at Mundra and Ennore ports.
Vizhinjam port, commissioned in December 2024, currently operates at 1.6 million TEUs capacity and is undergoing expansion to increase capacity 3.5x to 5.7 million TEUs by December 2028. The port has become India's fastest-growing port, handling 1.3 million TEUs in its first year and crossing 2 million TEUs within 18 months of operations.
