Alembic Pharmaceuticals Limited has executed a Shareholders' Agreement to invest in a newly incorporated Canadian Corporation. Alembic Pharmaceuticals will hold a 45% equity stake in 17989377 Canada Inc. The investment was announced on June 6, 2026.
The Shareholders' Agreement was signed alongside Difgen Holdings LLC and Mr. Sukhad Juneja. Difgen Holdings LLC will also hold a 45% stake in the Canadian entity, with the remaining 10% held by other parties. The investor group comprises a corporate entity and an individual shareholder.
The investment is aimed at establishing a platform for development, commercialization, distribution and marketing of pharmaceutical products focused on the Canadian market. The Canadian Corporation will serve as a vehicle for Alembic Pharmaceuticals to expand its presence in North America. Post-investment, the Canadian Corporation will become an associate of Alembic Pharmaceuticals.
The board of directors of the Canadian Corporation will include nominee directors from each shareholder along with an independent director. The agreement provides for customary shareholder rights including participation in key decision matters and oversight of significant corporate actions.
The parties to the joint venture are not related to the promoter, promoter group, or group companies. The investment in the share capital of the Canadian Corporation does not fall within the purview of related party transactions for Alembic Pharmaceuticals.
Alembic Pharmaceuticals confirmed there is no potential conflict of interest arising from this agreement.
