Alkem Laboratories Limited has informed BSE Limited and the National Stock Exchange of India Limited that its wholly owned subsidiary, Alkem Medtech Private Limited, executed a First Supplementary Agreement to the Share Purchase Agreement on 26th June 2026 for the acquisition of Occlutech Holding AG. The announcement follows prior disclosures made to the exchanges on 13th February 2026 and 6th March 2026 regarding the proposed acquisition of a controlling stake in the Switzerland-based company.
Alkem Medtech intends to acquire at least 51% and up to 55% of the total issued equity share capital of Occlutech, a company incorporated in Switzerland. The original Share Purchase Agreement was executed on 6th March 2026 with the selling shareholders of Occlutech.
The First Supplementary Agreement dated 26th June 2026 has been executed with inter alia the selling shareholders of Occlutech. This supplementary agreement modifies the terms of the original Share Purchase Agreement dated 6th March 2026.
Alkem Medtech Private Limited is the wholly owned Indian subsidiary of Alkem Laboratories Limited. The acquisition of a controlling stake in Occlutech is being structured through this subsidiary.
Upon completion of the acquisition, Alkem Laboratories will hold at least 51% of the equity share capital of Occlutech Holding AG. Occlutech is a Switzerland-based company incorporated under Swiss laws.
Alkem Laboratories stated that a copy of the disclosure will be made available on its website in accordance with Regulation 30(8) of the SEBI LODR Regulations. The update was communicated to BSE Limited under scrip code 539523 and to the National Stock Exchange of India Limited under symbol ALKEM, in compliance with the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.
