Amber Enterprises' subsidiary IL JIN acquires additional 37.50% stake in Ascent Circuits for Rs 328 crore

Amber Enterprises India Limited has informed stock exchanges that IL JIN Electronics (India) Private Limited, a material subsidiary, acquired an additional 37.50% equity stake in Ascent Circuits Private Limited. The transaction was completed on 19th June 2026 for a total purchase consideration of approximately Rs 328 crore.

Ascent Circuits Private Limited is a subsidiary of IL JIN and a step-down subsidiary of Amber Enterprises. Prior to the acquisition, IL JIN held a 60% stake in Ascent Circuits. Post-acquisition, IL JIN's shareholding increased to 97.50%, giving it near-complete control of the step-down entity.

The announcement was submitted to BSE Limited, where Amber Enterprises is listed under scrip code 540902, and the National Stock Exchange of India, where it trades under the symbol AMBER, for dissemination to the public. The disclosure was made under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.

This update follows an earlier intimation dated 18th June 2026 regarding the proposed acquisition. The required disclosures under the SEBI Master Circular dated 30th January 2026 were submitted as part of the earlier intimation and included Annexure A and Annexure B. IL JIN Electronics continues to be a material subsidiary of Amber Enterprises India Limited. The acquisition increases Amber's indirect ownership in Ascent Circuits through its material subsidiary. IL JIN now holds a 97.50% stake in Ascent Circuits following the transaction.
