The promoter and promoter group of Apollo Healthtech committed to waiving nomination rights when individual shareholding falls below 5%. Rasmeli Limited and the promoter group separately committed to waiving nomination rights when shareholding falls below 10%. A tiered framework caps maximum nominee directors based on aggregate shareholding: up to 2 directors for holdings between 10% and below 15%, up to 3 directors for 15% to below 25%, up to 4 directors for 25% to below 35%, and up to 5 directors for holdings of 35% and above.
Apollo Healthtech's Articles of Association will be amended after the Scheme becomes effective to incorporate these provisions. The company will seek separate shareholder approval for the proposed amendment of the Articles following Scheme effectiveness.

So long as Apollo Healthtech has an executive chairperson, at least half of its Board will be constituted of independent directors in accordance with applicable law. Apollo Hospitals continues to seek shareholder support for the Scheme.
