Apollo Hospitals Enterprise Limited has provided additional information to stock exchanges regarding its proposed composite scheme of arrangement involving Apollo Healthco Limited, Keimed Private Limited, and Apollo Healthtech Limited. The disclosure supplements the notice convening meetings of shareholders and creditors dated May 21, 2026.
The scheme entails the separation and independent listing of Apollo Healthtech as a focused healthcare platform. Half of Apollo Healthtech's board will comprise independent directors under the proposed governance framework. Board nomination rights granted to investor Rasmeli and the promoter group will include a fall-away threshold, with both parties waiving their right to nominate directors when shareholding falls below 10%.
Ms. Shobana Kamineni is proposed to be appointed as Executive Chairperson of Apollo Healthtech, subject to NCLT sanction. Apollo Healthtech will seek separate shareholder approval for the terms of her appointment, tenure, and remuneration. Apollo Healthtech has stated it will appoint a Lead Independent Director to serve as a counterbalance on the board.
The Upside Agreement with Rasmeli is entirely investor-funded and will not result in any cash outflow from Apollo Healthtech or its other shareholders. The agreement is linked to achieving at least 4x multiple of invested capital, with a maximum of 9% of the upside delivered to Rasmeli. The Upside Agreement is subject to approval of a majority of public shareholders of Apollo Hospitals Enterprise Limited under SEBI LODR Regulations.
The scheme is subject to sanction by the NCLT. Upon effectiveness, Apollo Healthtech will separately seek approval from its public shareholders once listed on stock exchanges. Apollo Hospitals Enterprise Limited stated the proposed structure is designed to balance entrepreneurial leadership with governance and shareholder accountability.
