Apollo Hospitals Enterprise Limited holds NCLT-convened meetings for composite scheme of arrangement

Apollo Hospitals Enterprise Limited convened meetings of secured creditors, unsecured creditors and equity shareholders on June 24, 2026, to consider a composite scheme of arrangement. Apollo Healthco Limited and Keimed Private Limited are the transferor companies, and Apollo Healthtech Limited is the resultant company. Apollo Hospitals Enterprise Limited is the demerged company under the proposed arrangement.

The NCLT Chennai Bench directed the meetings through orders dated March 26, April 15 and May 5, 2026. All meetings were conducted through video conferencing. Dr. K.S. Ravichandran served as the NCLT-appointed chairperson for all three meetings, with management participants including independent director MBN Rao, CFO Krishnan Akhileswaran, and senior vice president SM Krishnan.

The secured creditors meeting was held from 10:00 AM to 10:40 AM, and no queries were raised on the scheme. The unsecured creditors meeting commenced at 11:00 AM but was adjourned for 30 minutes as the requisite quorum was not present. It reconvened at 11:30 AM with sufficient quorum and concluded at 12:15 PM.

The equity shareholders meeting was held from 2:30 PM to 3:45 PM. The CFO presented the features and rationale of the proposed arrangement to each stakeholder group. Queries raised by unsecured creditors were addressed by the management during the meeting.

Voting results on the scheme will be submitted to stock exchanges and filed with the NCLT within prescribed timelines. The outcome will also be made available on Apollo Hospitals Enterprise Limited's website.
