Aster DM Healthcare Acquires Rs 25 Crore Preference Shares in Associate Alfaone Medicals

Aster DM Healthcare Limited announced on June 29, 2026, that it has acquired 3,57,143 Optionally Convertible Redeemable Preference Shares in Alfaone Medicals Private Limited, an associate company, through a rights issue subscription. The preference shares have a face value of Rs 10 each and were acquired at a price of Rs 700 each, including a security premium of Rs 690 per share.

The total consideration for the acquisition is Rs 25 crore, paid in cash. This investment increases Aster DM Healthcare's holding in Alfaone Medicals' OCRPS from 33,97,100 shares to 37,54,243 shares, while its equity shareholding remains at 11,50,941 shares, representing 48.91% of the company. The transaction has been classified as a related party transaction and approved by the board of Aster DM Healthcare.

Alfaone Medicals Private Limited was incorporated on December 3, 2020, in Bengaluru, Karnataka, and is engaged in the trading of drugs and pharmaceuticals within the healthcare industry. As of the acquisition date, Alfaone Medicals has an authorized share capital of Rs 6.37 crore and a paid-up capital of Rs 5.75 crore. The company's turnover for the financial years ended March 31 was Rs 6.22 crore in 2024, Rs 6.16 crore in 2025, and Rs 5.90 crore in 2026.

The acquisition is being made for general corporate purposes and is conducted at arm's length. No governmental or regulatory approvals were required for the transaction. Alfaone Medicals allotted the 3,57,143 OCRPS to Aster DM Healthcare on June 29, 2026, completing the acquisition on the same day.
