Aster DM Healthcare Notes NCLT Approval of Quality Care India Amalgamation, Sets Record Date

Aster DM Healthcare Limited has taken on record the order of the National Company Law Tribunal, Hyderabad Bench, approving the Scheme of Amalgamation between Quality Care India Limited, the transferor company, and Aster DM Healthcare Limited, the transferee company. The NCLT order was issued on 19 June 2026. The board of directors noted the order at its meeting held on 25 June 2026.

The scheme provides for the amalgamation of Quality Care India Limited into Aster DM Healthcare Limited. All equity shareholders of Quality Care India Limited will receive shares of Aster DM Healthcare in exchange for their holdings in the transferor company.

The board fixed 9 July 2026 as the record date for determining the entitlement of equity shareholders of Quality Care India for the allotment of fully paid-up equity shares of Aster DM Healthcare. Each equity share of Aster DM Healthcare has a face value of Rs 10.

Under the share exchange ratio approved under the scheme, shareholders of Quality Care India Limited will receive 977 equity shares of Aster DM Healthcare for every 1,000 equity shares held in the transferor company. The scheme was previously approved by the shareholders and creditors of both companies before the NCLT issued its order.

Quality Care India operates hospitals under the CARE Hospitals brand across multiple cities in India. Aster DM Healthcare runs a network of multi-specialty hospitals and clinics across India and the Gulf region. The amalgamation consolidates the hospital networks of both healthcare providers into a single combined entity under Aster DM Healthcare Limited.
