Bajaj Auto shareholders approve Rs 5,632.80 crore buyback at Rs 12,000 per share

Bajaj Auto Limited shareholders have approved a buyback of up to 46,94,000 fully paid-up equity shares through a special resolution passed via postal ballot. The board of Bajaj Auto had approved the buyback at its meeting held on May 6, 2026, subject to shareholder consent.

Bajaj Auto will buy back equity shares of face value Rs 10 each at a price of Rs 12,000 per share. The aggregate buyback size stands at Rs 5,632.80 crore, excluding transaction costs.

The buyback represents up to 1.68% of the total paid-up equity share capital of Bajaj Auto as of March 31, 2026. The buyback size constitutes 16.93% of the aggregate paid-up equity capital and free reserves on a standalone basis and 15.59% on a consolidated basis, both within the statutory limit of 25%.

The buyback will be executed on a proportionate basis through the tender offer route using the stock exchange mechanism. Bajaj Auto's buyback committee, at its meeting held on June 18, 2026, approved the final terms.

Small shareholders will have 15% of the total shares reserved for participation in the buyback. Bajaj Auto will determine a record date for shareholder eligibility. The buyback will be funded from free reserves, securities premium account, and other permissible sources.

The buyback period will commence from the date of declaration of the postal ballot results until the date of payment of consideration to shareholders. Bajaj Auto may increase the buyback price and reduce the number of shares proportionately up to one working day before the record date, without changing the buyback size.
