Bharti Airtel Completes Acquisition of 16.3% Stake in Airtel Africa from ICIL

Bharti Airtel Limited announced the completion of its composite transaction on June 22, 2026. The transaction involved the acquisition of 595,204,251 shares of Airtel Africa plc from Indian Continent Investment Limited.

This acquisition represents a 16.3% stake in Airtel Africa. Consequently, Bharti Airtel's effective stake in the UK-listed subsidiary has increased to approximately 79%.

Simultaneously, Bharti Airtel's Special Committee of Directors for Preferential Issue approved the allotment of 146,761,335 fully paid-up equity shares to ICIL. These shares have a face value of Rs 5 each and were allotted on a preferential basis.

Following this allotment, ICIL holds about 3.25% of Bharti Airtel's total post-issue equity share capital. The allotment is part of the swap agreement where ICIL exchanged its stake in Airtel Africa for equity in Bharti Airtel.

Bharti Airtel's paid-up equity share capital has now increased to Rs 3,120.16 crore. It is divided into 6,240,043,648 fully paid-up equity shares of Rs 5 each and 1,110,668 partly paid-up equity shares of Rs 5 each with a paid-up value of Rs 1.25 each.

The company had earlier announced the transaction on May 13, 2026, and June 15, 2026. All necessary approvals from the board, shareholders, and regulatory authorities have been obtained.
