Bharti Airtel promoter group confirms nil share encumbrance in FY26

Bharti Airtel Limited promoter group entity Pastel Limited has submitted a disclosure to the stock exchanges confirming no encumbrance was created on Bharti Airtel shares during the financial year 2025-26. The filing under Regulation 31(4) of the Securities and Exchange Board of India Substantial Acquisition of Shares and Takeovers Regulations 2011 was delivered to the National Stock Exchange and BSE Limited where Bharti Airtel shares are listed and traded.

Pastel Limited together with Viridian Limited and persons acting in concert declared that no shares of Bharti Airtel were directly or indirectly encumbered during the period covered by the disclosure. The declaration covers the full fiscal year ended March 31 2026 and extends to all entities acting in concert with Pastel Limited in relation to the Bharti Airtel promoter group. Under SEBI regulations encumbrance includes pledge lien or any other form of charge on shares.

Regulation 31(4) requires promoters of listed companies to disclose any encumbrance on shares held in the target company within seven working days from the end of each financial year. Even a nil encumbrance position must be formally disclosed to the company and the stock exchanges where the shares are listed. The filing satisfies this annual regulatory requirement for the 2025-26 fiscal year.

The disclosure was signed by Kesaven Moothoosamy as authorised signatory for Pastel Limited on April 8 2026. The exchanges disseminated the filing to the public on June 16 2026. Bharti Airtel trades on the NSE under symbol BHARTIARTL and on the BSE under scrip code 532454.
