Brigade Enterprises Allottes 8.15 Crore Bonus Shares in 1:3 Ratio

Brigade Enterprises Limited has allotted 8,15,40,595 equity shares as fully paid-up bonus shares following the Committee of Directors meeting held on June 18, 2026. The bonus issue is in the ratio of 1:3, meaning one bonus equity share for every three equity shares held by eligible members.

The Record Date for determining eligible members was June 17, 2026. The allotted bonus shares rank pari-passu in all respects with the existing fully paid-up equity shares of the company.

Following the allotment, Brigade Enterprises' paid-up equity share capital has increased from Rs 244.62 crore to Rs 326.16 crore. A total of 51,620 bonus shares representing fractional entitlements have been consolidated and allotted to an Independent Professional Company for sale and distribution of net proceeds to eligible members.

The Committee of Directors also approved adjustments to the Brigade Employee Stock Option Plan 2017. The company issued 10,527 additional options with a revised issue price of Rs 125 per option, bringing the total options under this plan to 23,74,146.

Under the separate Brigade Employee Stock Option Plan, 2,03,496 additional options were issued with a revised price of Rs 296.25 per option. The total options under this plan now stand at 16,36,462.

Both sets of stock options were adjusted in accordance with the bonus issue ratio and will vest in accordance with the original vesting schedule provided at the time of the earlier grants. The options carry an exercise period of five years from the date of vesting.
