Can Fin Homes Board Approves Rs 5,000 Crore Debt Fundraise, Recommends Rs 8 Dividend

Can Fin Homes Limited board approved raising up to Rs 5,000 crore through issuance of debt instruments including bonds, non-convertible debentures, Tier II NCDs, and residential mortgage-backed securities. The fundraise may be executed in Indian or foreign currency. Shareholder approval will be sought at the ensuing annual general meeting.

The board allotted 466 equity shares to 11 employees under the CFHL Employee Stock Option Scheme 2024 at an exercise price of Rs 842.80 per share. The paid-up equity capital increased from Rs 26,63,08,250 to Rs 26,63,09,182, comprising 13,31,54,591 equity shares of face value Rs 2 each. The allotted shares rank pari-passu with existing equity shares.

A final dividend of Rs 8 per equity share for the financial year ended March 31, 2026 was recommended. The board fixed July 3, 2026 as the record date for determining shareholder entitlement to the dividend. Dividend payment will be made within 30 days of the AGM if approved by shareholders.

The 39th Annual General Meeting will be held through video conference on July 29, 2026 at 11:00 a.m. Smt. Varsha Vasant Purandare was appointed as Non-Executive Independent Director effective July 30, 2026 for a three-year term, subject to shareholder approval.

Three senior management changes were approved. Shri D R Prabhu was re-appointed as Chief Compliance Officer from July 24, 2026 to March 31, 2027. Shri P. Ratheesh Kumar was re-appointed as Head of Risk Based Internal Audit for one year from July 24, 2026. Shri U. Jagadish Bhat was appointed as Head of the Credit Department effective July 1, 2026.
