CDSL Board Appoints Geetha Gangadharan as Non-Independent Director, Schedules 28th AGM

Central Depository Services (India) Limited's board met on June 25, 2026 and approved the appointment of Geetha Gangadharan as a Non-Independent Director on the governing board, and scheduled the 28th annual general meeting for July 30, 2026. The board meeting started at 11:00 AM and concluded at 1:40 PM.

BSE Limited nominated Gangadharan, its Chief Regulatory Officer, as a nominee director on CDSL's governing board. She replaces Kamala Kantharaj, and the nomination was conveyed through a BSE letter dated June 8, 2026.

Kantharaj, eligible to retire by rotation, did not offer herself for re-appointment at the upcoming AGM.

The appointment follows recommendations from the Nomination and Remuneration Committee and is subject to shareholder approval at the AGM and subsequent clearance from SEBI. The effective date will be the date of SEBI approval, and Gangadharan will be liable to retire by rotation.

The 28th AGM will be held on July 30, 2026 at 11:00 AM through video conferencing or other audio visual means. The notice of the AGM and the integrated annual report for the financial year 2025-26 will be sent separately to shareholders and the stock exchange.

Gangadharan brings over three decades of experience in securities regulation, banking supervision, enforcement, litigation, and policy advocacy. She held leadership roles at the Reserve Bank of India, SEBI, and the Central Bank of the UAE. At SEBI, she served for 15 years as Chief General Manager and Head of Enforcement, overseeing enforcement, litigation, quasi-judicial proceedings, and settlements. She holds an LLM in Taxation from the University of Calicut and has completed international regulatory programs at Harvard Law School and the International Institute of Law in Washington DC.
