Clean Science and Technology Limited has informed the exchanges that promoter group members Smt. Alaknanda Boob Business Trust and Mrs. Asha Ashok Boob will acquire 66,38,000 equity shares (6.25 per cent of the paid-up equity share capital) by way of gift from Mrs. Nilima Krishnakumar Boob.
The inter-se transfer among promoter group members includes 58,00,000 shares to be transferred to Smt. Alaknanda Boob Business Trust and 8,38,000 shares to Asha Ashok Boob. The proposed date of acquisition is on or after June 6, 2026. The transaction is being carried out to streamline the family's assets and businesses.
Since the transfer is by way of gift among qualifying promoter group members, no consideration is involved. The transaction falls under the exemption provided under Regulation 10(1)(a)(ii) of the SEBI (SAST) Regulations, 2011, and does not trigger an open offer obligation. The aggregate holding of the promoter and promoter group remains unchanged.
Post the transfer, Smt. Alaknanda Boob Business Trust's shareholding will increase from 100 shares to 58,00,100 shares, representing 5.46 per cent of the total share capital. Asha Ashok Boob's holding will rise from 1,01,98,392 shares to 1,10,36,392 shares, representing 10.38 per cent of the total share capital.
Asha Ashok Boob is also in the process of another inter-se transfer wherein she proposes to gift 1,01,00,000 shares to AAB Business Trust. Upon completion of that transfer, her final shareholding will stand at 9,36,392 shares, representing 0.88 per cent of the total share capital. Nilima Krishnakumar Boob's shareholding will reduce from 67,29,986 shares to 91,986 shares after the transfer.
