Clean Science and Technology Reports Inter-se Transfer of 18.86% Equity Among Promoter Entities

Clean Science and Technology Limited has reported an inter-se transfer of 2,00,38,000 equity shares, representing 18.86% of its paid-up equity capital, among promoter and promoter group entities. The transfer was executed by way of gift through an off-market transaction without any consideration.

Ashok Ramnarayan Boob transferred 33,00,000 shares (3.11%) to ARB Business Trust. Asha Ashok Boob transferred 1,01,00,000 shares (9.50%) to AAB Business Trust. Nilima Krishnakumar Boob transferred 8,38,000 shares (0.79%) to Asha Ashok Boob and 58,00,000 shares (5.46%) to Alaknanda Business Trust. The cumulative transfer of 2,00,38,000 shares accounts for 18.86% of the total equity.

The transaction is structured as an inter-se transfer under Regulation 10(1)(a)(ii) of the SEBI Takeover Regulations. This provision exempts share movements among promoter and promoter group entities from the mandatory open offer obligation. Clean Science and Technology Limited received the disclosure filings from the acquirers and submitted the Regulation 10(7) report to both BSE and NSE on 26 June 2026.

Prior intimations under Regulations 10(5) and 10(6) were filed on 1 June 2026 and between 10 and 11 June 2026 respectively. The final disclosures were submitted on the SEBI Intermediary Portal between 22 and 23 June 2026.

ARB Business Trust, AAB Business Trust, Asha Ashok Boob, and Alaknanda Business Trust are existing members of the promoter and promoter group of Clean Science and Technology Limited. The share transfer represents a reorganisation of shareholding within the promoter family. All entities remain part of the promoter group following the transaction.
