Cyient Limited announced a buyback of up to 64,00,000 fully paid-up equity shares of face value Rs 5 each, representing up to 5.76% of the total paid-up equity share capital. The buyback will be at a price of Rs 1,125 per equity share for an aggregate amount of up to Rs 720 crore, payable in cash through the tender offer route.
The board of directors approved the buyback at its meeting on April 23, 2026. Shareholders subsequently approved the proposal through a special resolution passed via postal ballot on June 10, 2026. The record date for determining eligible shareholders has been fixed as June 17, 2026.
The buyback will be conducted on a proportionate basis with a reservation for small shareholders. Eligible shareholders as of the record date will be entitled to participate in the buyback.
The public announcement relating to the buyback was published on June 12, 2026, in English, Hindi, and Telugu newspapers with wide circulation in India and in The Washington Post in the United States. The letter of offer containing detailed terms, conditions, and procedures of the buyback will be sent to all shareholders as of the record date at their registered email addresses or postal addresses.
