Dalmia Bharat Limited has announced that its wholly owned material subsidiary Dalmia Cement (Bharat) Limited has completed the acquisition of a cement undertaking from Jaiprakash Associates Limited, acquired by the Adani Group under the Insolvency and Bankruptcy Code, and Adani Infra (India) Limited. The acquisition was consummated on May 29, 2026, following a Business Transfer Agreement executed on May 21, 2026.
The acquired undertaking includes plants located at Rewa in Madhya Pradesh and Churk, Chunar, and Sadwa in Uttar Pradesh. The deal adds 5.2 million tonnes per annum of cement capacity and 3.3 million tonnes per annum of clinker capacity to Dalmia Bharat's production base. Following the completion of this transaction, Dalmia Bharat's total cement capacity has increased to 54.7 million tonnes per annum.
The transaction was structured as a slump sale of the cement undertaking through a Business Transfer Agreement entered into by Dalmia Cement (Bharat) Limited. Dalmia Bharat Limited had initially informed the stock exchanges about the proposed capacity addition on May 22, 2026, with requisite details submitted under the SEBI circular dated July 13, 2023.
Dalmia Bharat Limited communicated the completion of the acquisition to BSE and NSE under Regulation 30 of the SEBI Listing Regulations. The acquired plants strengthen Dalmia Bharat's manufacturing footprint in central and northern India through the wholly owned subsidiary. Jaiprakash Associates Limited was acquired by the Adani Group through the insolvency resolution process.
