Elecon Engineering Company Limited has appointed Pranav C. Amin as an Additional Director designated as Non-Executive and Independent Director, effective June 22, 2026. The appointment is subject to approval by the shareholders through a Special Resolution. Elecon confirmed that Mr. Amin is not debarred from holding the office of director by any order from SEBI or any other regulatory authority.
The board approved the appointment based on the recommendation of the Nomination and Remuneration Committee. Mr. Amin will serve a second term of five consecutive years and is not liable to retire by rotation.
Mr. Amin's previous five-year term as Independent Director expired on May 26, 2026. He ceased to be a director effective May 27, 2026, and the new appointment restores him to the board effective June 22, 2026.
Pranav C. Amin holds a degree in Economics and Industrial Management from Carnegie Mellon University and a Master in Business Administration from Thunderbird, USA. He currently serves as the Managing Director of Alembic Pharmaceuticals Limited and is not related to any existing director of Elecon.
The board also approved the re-constitution of its committees with effect from June 22, 2026, updating the composition of the Audit Committee, Nomination and Remuneration Committee, and Corporate Social Responsibility Committee. Mr. Amin has been appointed as a member of the Audit Committee and the Nomination and Remuneration Committee, and as Chairman of the Corporate Social Responsibility Committee.
The board meeting commenced at 5:10 PM and concluded at 5:25 PM on June 22, 2026. Elecon submitted these details to the stock exchanges in compliance with SEBI regulations.
