Emirates NBD Open Offer for RBL Bank Sees No Shares Tendered

RBL Bank Limited has updated the exchanges on the open offer by Emirates NBD Bank (P.J.S.C.), reporting that no equity shares were tendered as of June 3, 2026. J.P. Morgan India Pvt Ltd, the manager to the open offer, submitted the disclosure to both the National Stock Exchange and BSE Limited.

The open offer is for acquisition of up to 415,586,443 equity shares of Rs 10 each, representing 26% of the expanded voting share capital from public shareholders. As at 16:53:48 on June 3, 2026, the Open Offer Escrow Demat Account held zero shares, constituting 0.00% of the offer size. The escrow demat account is maintained with Ventura Securities Limited, bearing depository participant identification number IN303116.

The disclosure reflects shares in dematerialised form tendered by public shareholders, based on the account statement received by the manager from Ventura Securities Limited. Shares tendered by public shareholders remain subject to validation and verification of complete documentation.

Only equity shares validly tendered will be accepted in accordance with SEBI SAST Regulations and the letter of offer dated May 22, 2026. The number of shares tendered may differ from the number ultimately accepted by Emirates NBD Bank in the open offer, J.P. Morgan India clarified.

The open offer under the SEBI SAST Regulations follows the letter of offer issued on May 22, 2026, which governs the terms and conditions of the acquisition process. Emirates NBD Bank is proceeding with the open offer compliance under the regulatory requirements of the takeover code.
