The disclosure was submitted to the BSE and the National Stock Exchange on April 7, 2026, and published by the exchanges on June 5, 2026. Aeroports de Paris, along with GMR Infra Services Private Limited as a person acting in concert, declared that no fresh pledge, lien, or encumbrance was made on GMR Airports shares during FY 2025-26. The declaration covers all shares held by the promoter group and parties acting in concert with it.
Antoine Crombez, Chief Investment Officer of Aeroports de Paris S.A. signed the declaration on behalf of the promoter entity. GMR Airports Limited was formerly known as GMR Airports Infrastructure Limited.
Regulation 31(4) of the SEBI takeover code requires promoters of listed entities to submit an annual declaration on the encumbrance status of their holdings. Encumbrances include pledges, liens, or any other form of charge created on shares, and any changes to existing encumbrances must be disclosed separately. This filing confirms that no additional encumbrances were created during the year beyond those already reported under Regulation 31.
Aeroports de Paris is a promoter of GMR Airports Limited and is one of the largest airport operators globally, with operations spanning Europe, Asia, and the Americas. GMR Airports develops and operates major airports in India, including the Indira Gandhi International Airport in Delhi and Rajiv Gandhi International Airport in Hyderabad, and has a presence in select international airport markets. ADP, which manages Paris-Charles de Gaulle and Paris-Orly airports, entered the GMR Airports shareholder structure as a promoter entity.
