Godrej Industries Promoters Confirm No Share Encumbrance in FY 2025-26

Godrej Industries Limited's promoter Nadir Godrej submitted a declaration to stock exchanges confirming no encumbrances were created on promoter shareholdings during the financial year 2025-26. The disclosure was filed under Regulation 31(4) of the SEBI Takeover Regulations.

The declaration, submitted on April 8, 2026, covers all promoters, promoter group members, and persons acting in concert. It confirms that none of these parties made any encumbrance on their shareholding in Godrej Industries Limited during the financial year ended March 31, 2026.

The filing also provided an update on existing encumbrances from prior financial years. Burjis Godrej (1.69%), Sohrab Godrej (1.57%), and Hormazd Godrej (0.51%) hold shares with transfer restrictions under a Shareholders' Agreement dated March 26, 2020, created in favor of Nadir Godrej, promoter of Godrej Industries Limited.

Voting rights on these shares remain vested with Nadir Godrej as per the agreement. Burjis Godrej, Sohrab Godrej, and Hormazd Godrej are the children of Nadir Godrej.

During FY 2020-21, Hormazd Godrej acquired 90,000 equity shares (0.03%) from Burjis Godrej and 2,70,000 equity shares (0.08%) from Sohrab Godrej. Voting rights on these acquired shares, representing 0.11% of Godrej Industries Limited's equity, continue to be vested with Nadir Godrej under the terms of the Shareholders' Agreement.

The requisite disclosures for encumbrances from FY 2019-20 and FY 2020-21 were already made to the exchanges in the respective periods. There has been no change in the encumbrances since the initial disclosures.
