Godrej Properties Gets NCLT Nod for Amalgamation With Embellish Houses

Godrej Properties Limited has received the final order from the National Company Law Tribunal, Mumbai Bench, sanctioning the scheme of amalgamation of Embellish Houses Private Limited with Godrej Properties. The NCLT pronounced the order on July 8, 2026, and a copy was made available on the tribunal's website on the same date.

The scheme was originally approved by the board of directors of both companies on November 6, 2025. The appointed date for the amalgamation is November 1, 2025. The scheme will become effective once the certified NCLT order is received and filed by both entities with the Registrar of Companies, Mumbai.

Godrej Properties is the transferee company, and Embellish Houses Private Limited is the transferor company. Since the transferor is a wholly owned subsidiary of Godrej Properties, no shares of the transferee company will be allotted in exchange for the equity shareholding of the transferor company. All shares of Embellish Houses will be cancelled upon the scheme taking effect.

The NCLT order noted that no objections were raised against the scheme. Meetings of equity shareholders and creditors of both companies were dispensed with by the tribunal in February 2026. The Regional Director of the Ministry of Corporate Affairs submitted a report in April 2026 with observations, which the companies addressed through undertakings and responses.

Post amalgamation, all employees of Embellish Houses will be transferred to Godrej Properties without a break in service and on terms no less favourable. Godrej Properties said the scheme will consolidate its real estate business, reduce the number of legal entities in the group, and streamline administrative and compliance functions.
