GPIL promoter Kumar Agrawal acquires equity shares via transmission

Godawari Power And Ispat limited (GPIL) has informed stock exchanges that Kumar Agrawal, a member of the promoter group, acquired 1,50,000 equity shares of face value Rs 10 each, representing 0.02% of the paid-up equity share capital. The acquisition was completed by way of transmission from Late Mrs. Madhu Agrawal, also a member of the promoter group, on June 23, 2026.

The acquisition falls under the exemption provided in Regulation 10(1)(g) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, which covers shares acquired by way of transmission, succession or inheritance. Kumar Agrawal submitted the required disclosure under Regulation 10(6) to the National Stock Exchange and BSE on June 26, 2026.

Following the transmission, Kumar Agrawal's shareholding in GPIL increased from 2,21,91,055 shares, or 3.30% of the equity capital, to 2,23,41,055 shares, or 3.32%. The aggregate promoter and promoter group shareholding stood at 60.22% of the paid-up capital after the transaction, compared with 60.20% before the transmission.

GPIL confirmed that the consolidated total shareholding of the promoter and promoter group remained unchanged following the acquisition, since the shares were transferred within the promoter group. The total paid-up equity share capital of Godawari Power And Ispat limited is 67,30,74,370 equity shares of Rs 10 each.

Separate disclosures under Regulation 29(2) of the SEBI SAST Regulations and Regulation 7(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015, will be filed with the stock exchanges and the company within the prescribed legal timelines.
