Grasim confirms no encumbrances on UltraTech Cement shares in annual SEBI disclosure

UltraTech Cement Limited's promoter Grasim Industries Limited has submitted a yearly declaration under Regulation 31(4) of the SEBI Takeover Regulations, confirming that no encumbrances were created on the cement maker's shares during the financial year ended March 31, 2026.

The declaration was submitted to the BSE and the National Stock Exchange on behalf of all promoters and persons acting in concert with Grasim. It covers the period from April 1, 2025 to March 31, 2026 and states that no direct or indirect encumbrances were made beyond those already disclosed during the fiscal year. The filing was made public on June 2, 2026, while the declaration itself is dated April 7, 2026.

Grasim Industries Limited, part of the Aditya Birla Group, is a promoter of UltraTech Cement, India's largest cement manufacturer by capacity. The filing includes a list of 25 entities comprising promoters, promoter group members, and persons acting in concert with Grasim in relation to UltraTech Cement.

The list includes Kumar Mangalam Birla, Rajashree Birla, Neerja Birla, Hindalco Industries Limited, Birla Group Holdings Private Limited, Pilani Investment and Industries, Century Enka Limited, Aditya Birla Real Estate Limited, and other Birla family and group entities. The list also includes international entities such as Thai Rayon Public Company Limited and P.T. Indo Bharat Rayon.

Regulation 31(4) of the SEBI Takeover Regulations requires promoters of every target company to declare annually that no encumbrances on shares have been created beyond those already reported. This disclosure confirms compliance with that requirement for the financial year 2025-26.
