Vodafone Idea Limited informed the exchanges that Grasim Industries Limited has submitted a disclosure under Regulation 31(4) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The filing was made on 02 June 2026.
Grasim Industries, one of the promoters of Vodafone Idea, declared on behalf of the promoter group and persons acting in concert that no encumbrance has been created, directly or indirectly, on shares of the target company during the financial year ended 31 March 2026, other than those already disclosed.
The annexure to the disclosure lists eight entities and individuals covered by the declaration. They are Kumar Mangalam Birla, Grasim Industries Limited, Hindalco Industries Limited, Birla Group Holdings Private Limited, Pilani Investment and Industries Corporation Limited, Elaine Investments Pte Limited, Oriana Investments Pte Limited, and IGH Holdings Private Limited.
The disclosure was signed by Neelabja Chakrabarty, Company Secretary and Compliance Officer of Grasim Industries. The letter was addressed to the board of Vodafone Idea at its Gandhinagar office and marked to BSE under scrip code 500300 and NSE under symbol GRASIM.
Under Regulation 31(4) of the SEBI Takeover Regulations, promoters of listed companies are required to file an annual declaration confirming that no additional encumbrances have been created on their shareholdings beyond those already reported to the exchanges.
