The disclosure under Regulation 31(4) of the SEBI Takeover Regulations was filed by Brijmohan Lal Om Parkash, a partnership firm acting on behalf of the promoter group. Promoters and promoter group members collectively hold 69,488,181 shares, or 34.73 per cent, of Hero MotoCorp Limited's total paid-up equity capital of 200,089,777 shares.
Bahadur Chand Investments Pvt Ltd is the largest promoter shareholder with 40,033,238 shares, representing 20.01 per cent. Brijmohan Lal Om Parkash, the partnership firm, holds 27,927,058 shares, or 13.96 per cent. Each of these entities confirmed no encumbrance on their holdings during the period.
Hero Investcorp Private Limited holds 873,766 shares, or 0.44 per cent, among promoter entities. Pawan Munjal, a promoter, holds 43,364 shares directly and 32,500 shares as Karta of his HUF, totalling 75,864 shares. Among individuals in the promoter group, Renu Munjal holds 111,482 shares, Suman Kant Munjal holds 91,250 shares, and Aniesha Munjal holds 32,500 shares.
The Pawan Munjal Family Trust holds 201,100 shares, or 0.10 per cent, while the RK Munjal and Sons Trust holds 8,000 shares. Other promoter group members including Sunil Kant Munjal, Vasudha Dinodia, Renuka Munjal, Abhimanyu Munjal, Rahul Munjal, Ujjwal Munjal, Akshay Munjal, and Vidur Munjal each hold between 1,000 and 32,500 shares. Hero Fincorp Limited holds 1,370 shares.
