Info Edge (India) Limited Invests Rs 40 Crore in Wholly-Owned Subsidiary Startup Investments (Holding) Limited

Info Edge (India) Limited has agreed to invest about Rs 40 crore in its wholly-owned subsidiary Startup Investments (Holding) Limited (SIHL). The investment was approved by the Committee of Executive Directors on June 24, 2026. SIHL is held directly by Info Edge and through Naukri Internet Services Ltd, another wholly-owned subsidiary.

Info Edge will subscribe to 1,868,285 compulsory convertible debentures (CCDs) at an issue price of Rs 214.10 each, including a premium of Rs 114.10 per CCD. The total consideration of about Rs 40 crore will be paid in cash, with the transaction expected to close within 30 days from the approval.

SIHL, incorporated on March 4, 2015, is focused on direct or indirect investments in technology companies and related activities, including investments in alternative investment funds. As of March 31, 2025, SIHL reported a net loss of Rs 0.2 crore and a net worth of Rs 203.31 crore. The subsidiary has recorded nil turnover for the three financial years ended March 2026.

The investment will enable SIHL to explore investment opportunities, including contributions to alternative investment funds and other general purposes. Post this investment, SIHL will remain a wholly-owned subsidiary of Info Edge.

No governmental or regulatory approvals are required for the investment. Promoter and promoter group entities have no interest in the transaction, which has been conducted at arm's length.
