Infosys shareholders approve reclassification of Shreyas Shibulal, Bhairavi Shibulal to public category

Infosys Limited has received shareholder approval for the reclassification of Mr. Shreyas Shibulal and Ms. Bhairavi Madhusudhan Shibulal from the 'Promoter and Promoter Group' category to 'Public'. The approval was granted at the 45th Annual General Meeting held on June 23, 2026.

The reclassification was processed under Regulation 31A read with Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015. Infosys had previously informed the BSE, National Stock Exchange of India, and New York Stock Exchange about the reclassification proposal through filings on April 30, 2026, May 1, 2026, and May 11, 2026.

Following the AGM, Infosys submitted the voting results to all relevant authorities to complete the reclassification under applicable laws. Mr. Shreyas Shibulal and Ms. Bhairavi Madhusudhan Shibulal now stand reclassified to the 'Public' category with immediate effect.

Regulation 31A of the SEBI Listing Obligations and Disclosure Requirements Regulations requires shareholder approval for reclassification of promoter or promoter group members to the public category. Infosys stated that the resolution and voting outcome will be made available on the Infosys website.

Infosys disclosed the AGM outcome through a regulatory filing on June 25, 2026, to the BSE, NSE, and NYSE where its shares are listed. The reclassification changes the shareholding classification of the two individuals who were previously part of the promoter and promoter group. Infosys completed the statutory procedures required under SEBI regulations to give effect to the reclassification.
