IOC confirms no encumbrance on shares of CPCL, Petronet LNG for FY26

Indian Oil Corporation Limited (IOC), promoter of Chennai Petroleum Corporation Limited and Petronet LNG Limited, has filed a declaration under the SEBI Takeover Regulations confirming no encumbrance on its shares in these two companies during the year ended 31 March 2026.

The disclosure was submitted under Regulation 31(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. IOC confirmed that it did not create any direct or indirect encumbrance on its promoter shareholding in Chennai Petroleum Corporation Limited during the fiscal year. IOC also confirmed the same for its promoter holding in Petronet LNG Limited.

The declaration covers the period from 1 April 2025 to 31 March 2026. The filing was submitted to both the National Stock Exchange and BSE, where the shares of both companies are listed. The confirmation was signed by Kamal Kumar Gwalani, Company Secretary of IOC.

Chennai Petroleum Corporation Limited, a subsidiary of IOC, operates a refinery at Manali near Chennai with an installed capacity of 10.5 million tonnes per annum. The company manufactures a range of petroleum products including liquefied petroleum gas, petrol, diesel, and aviation turbine fuel. IOC holds a majority stake in Chennai Petroleum Corporation Limited.

Petronet LNG Limited, in which IOC holds a promoter stake, operates liquefied natural gas import terminals at Dahej in Gujarat and Kochi in Kerala. Petronet LNG is a joint venture between IOC, ONGC, GAIL, and BPCL. The Dahej terminal is among the largest LNG import facilities in the country.
