IPCA Laboratories Limited said its board approved a scheme of amalgamation to merge Krebs Biochemicals & Industries Ltd. into itself. The appointed date for the amalgamation is April 1, 2026.
IPCA Laboratories reported a standalone audited total income of Rs 7,431 crore for the financial year ended March 31, 2026. Krebs Biochemicals & Industries Ltd. recorded an audited total income of Rs 26 crore, mostly from conversion charges received from Ipca. Both entities manufacture and market pharmaceuticals.
Under the share exchange ratio, IPCA Laboratories will issue seven fully paid-up equity shares of Re 1 each for every 200 fully paid-up equity shares of Rs 10 each held in Krebs Biochemicals. No cash consideration is payable under the scheme. The merger is classified as a related party transaction carried out at arm's length.
Krebs Biochemicals has fermentation-based active pharmaceutical ingredients manufacturing capabilities that Ipca does not possess. The combined entity will research, develop, and commercialise new fermentation-based APIs. The scheme will secure uninterrupted supply of a fermentation-based API used in Ipca's largest-selling formulation and of drug intermediates used in Ipca's key API manufacturing.
Krebs Biochemicals has been incurring continuous losses and has been unable to invest adequately in research and development. Ipca's financial strength, technical expertise, and marketing capabilities will be used to optimally utilise Krebs's manufacturing facilities. Post-amalgamation, administrative, compliance, and statutory burden will be reduced through elimination of multiple legal entities.
Post-merger, promoter shareholding in IPCA Laboratories will reduce to 44.66% from 44.72%, while public shareholding will increase to 55.34% from 55.28%. The total issued shares of the combined entity will stand at 25,40,84,157.
