JSW Infrastructure Incorporates Wholly Owned Subsidiary for Kolkata Port Project

JSW Infrastructure Limited has incorporated a wholly owned subsidiary, JSW Kolkata Outer Harbour Container Terminal Private Limited, on July 10, 2026. The incorporation follows a Letter of Award from Syama Prasad Mookerjee Port Authority, Kolkata, for the Integrated Development of Outer Container Terminal and Berth No. 1 through 5 at Netaji Subhash Dock, Kolkata Dock System.

The project will be executed on a Design Build Finance Operate Transfer basis through the public-private partnership mode. JSW Kolkata Outer Harbour Container Terminal Private Limited was incorporated as a special purpose vehicle to enter into a concession agreement with the port authority, as required under the terms of the Letter of Award. The new entity will fulfil all obligations under the concession agreement.

JSW Infrastructure subscribed to 10,000 equity shares of Rs 10 each in the new subsidiary, aggregating to Rs 1,00,000. JSW Infrastructure holds 100 percent of the share capital of JSW Kolkata Outer Harbour Container Terminal Private Limited.

The subsidiary operates in the infrastructure and port-related industry. JSW Kolkata Outer Harbour Container Terminal Private Limited will develop the Outer Container Terminal and Berth No. 1 through 5 at the Kolkata Dock System. The Ministry of Corporate Affairs confirmed the incorporation on July 10, 2026. JSW Infrastructure informed the stock exchanges of the development under Regulation 30 of the SEBI Listing Regulations.
