JSW Steel Limited has received the final order from the National Company Law Tribunal (NCLT), Mumbai, sanctioning the scheme of amalgamation of three wholly-owned subsidiaries into itself. The NCLT pronounced the order on July 2, 2026 and made it available on its website the same day.
The scheme covers the amalgamation of Amba River Coke Limited (ARCL), Monnet Cement Limited (MCL), and JSW Retail and Distribution Limited (JRDL) with JSW Steel. The board of directors had approved the scheme on October 17, 2025. The appointed date for the amalgamation is April 1, 2026.
The scheme will become effective once the certified copy of the NCLT order is received and filed by all three transferor companies and JSW Steel with the Registrar of Companies, Mumbai. JSW Steel will inform the stock exchanges of the effective date separately.
ARCL manufactures and sells coke and pellet while MCL is an unlisted public company without any business operations. JRDL facilitates marketing and sale of steel products and provides technical consultancy for design and development of steel, aluminium sheets, and other metal sheets, and all three transferor companies are wholly-owned subsidiaries of JSW Steel.
Since the transferor companies are wholly-owned subsidiaries of JSW Steel, no consideration is payable and no fresh shares will be allotted under the scheme. The existing share certificates of the transferor companies will stand cancelled upon the scheme becoming effective.
The amalgamation is intended to streamline the group structure by reducing the number of legal entities, eliminate multiple record-keeping and administrative functions, rationalise costs, and reduce time spent on consolidation of financials at the group level. The scheme also aims to pool technical resources, personnel, and expertise for operational efficiency.
