Just Dial promoter group member files no encumbrance declaration under SEBI Takeover Regulations

Just Dial Limited promoter group member V. Krishnan has submitted a declaration to the stock exchanges confirming that no encumbrance was created on the company's shares held by him during the financial year 2025-26. The disclosure was filed under Regulation 31(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

V. Krishnan stated in the filing that no shares of Just Dial held by him, directly or indirectly, were encumbered at any time during the fiscal year ended March 31, 2026. The declaration was submitted simultaneously to BSE, National Stock Exchange of India, and Metropolitan Stock Exchange of India where the company's equity shares are listed.

Under Regulation 31(4) of the takeover code, promoter group members are required to annually disclose the encumbrance status on their shareholding in the listed entity. V. Krishnan confirmed no such encumbrance existed on his Just Dial shares during the fiscal year. The communication to the exchanges was dated April 9, 2026, and was made available on the exchange filing platforms on June 24, 2026.

Just Dial operates a local search and listing platform in India connecting users with businesses across categories including restaurants, hotels, retail outlets, and professional services. The company's equity shares are listed on BSE, NSE, and MSE under the symbol JUSTDIAL with BSE code 535648.

V. Krishnan submitted the declaration as a member of the promoter group of Just Dial, fulfilling the regulatory disclosure obligations under the SEBI takeover regulations for the financial year 2025-26.
