Kalpataru Projects International Limited Completes Full Divestment of Kohima-Mariani Transmission Limited to Apraava Energy

Kalpataru Projects International Limited has completed the sale and transfer of its remaining ~26% equity stake in Kohima-Mariani Transmission Limited to Apraava Energy Private Limited. The transaction was consummated on 24th June 2026, and KPIL received confirmation of the completion of necessary formalities on 25th June 2026 at about 11:21 a.m. IST. With this transaction, KPIL has transferred its entire equity shareholding in KMTL to Apraava and completed its full exit from the investment.

The divestment concludes a process initiated with definitive agreements signed between KPIL and Apraava in July 2019 for the sale of KPIL's stake in KMTL. Under the initial phase, Kalpataru Projects International Limited sold approximately 48% of its equity holding in KMTL to Apraava. The balance ~26% stake was to be transferred after obtaining regulatory approvals and other clearances consistent with the transmission service agreement governing KMTL's operations.

All required regulatory approvals have now been obtained, and the conditions precedent for the transfer have been satisfied. Apraava Energy Private Limited now holds the full equity stake that KPIL previously owned in Kohima-Mariani Transmission Limited. Kalpataru Projects International Limited has no remaining equity exposure in KMTL following this divestment and has fully exited its position in the transmission company.

The development was disclosed to BSE under scrip code 522287 and to NSE under scrip code KPIL. Kalpataru Projects International Limited submitted the intimation on 25th June 2026 under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations. The filing informs the exchanges that the disinvestment of Kohima-Mariani Transmission Limited has been completed.

The filing referenced the earlier correspondence dated 3rd July 2019 through which KPIL had informed the exchanges of the definitive agreements with Apraava Energy. The completion of the balance stake sale brings the divestment process to a close with KPIL having no further involvement in KMTL.
