Krishna Institute of Medical Sciences Board Approves Rs 599.99 Crore Warrant Issue to Promoters

Krishna Institute of Medical Sciences Limited has approved the issuance of 77,02,182 warrants on a preferential basis to promoter and promoter group members at Rs 779 per warrant, aggregating to Rs 599.99 crore. The board of directors cleared the allotment at its meeting held on June 13, 2026.

The warrants will be allotted to Dr. Abhinay Bollineni (32,09,242 warrants for Rs 249.99 crore), Mr. Adwik Bollineni (32,09,242 warrants for Rs 249.99 crore), and Bharas Ventures LLP (12,83,698 warrants for Rs 100 crore). Bharas Ventures LLP is a limited liability partnership where Dr. Bhaskara Rao Bollineni and Ms. Rajyasri Bollineni, both promoters, have made the entire capital contribution.

Each warrant is convertible into one equity share of face value Rs 2 within 18 months from the date of allotment. The warrant holders must pay 25% of the issue price at the time of subscription and allotment, with the remaining 75% payable upon exercising the conversion right. If the warrants are not converted within the 18-month period, the entitlement will lapse and the amount paid will stand forfeited.

Post-conversion of all warrants, the promoter and promoter group shareholding will increase from 34.11% to 35.35%. The relevant date for determining the warrant issue price was June 9, 2026.

The board has also approved convening an extraordinary general meeting on July 9, 2026, through video conferencing, to seek shareholder approval for the preferential allotment.
