KNR Constructions Limited has completed the transfer of its entire equity share capital in subsidiary KNR Palani Infra Private Limited (KPIPL) to Indus Infra Trust, a SEBI-registered infrastructure investment trust.
KNR Constructions had invested Rs 64.40 crore in KPIPL through equity and subordinated debt. Pursuant to the transaction, KNR Constructions received a consideration of Rs 205.05 crore from the purchaser. The SPV also upstreamed Rs 90.00 crore of cash surplus to KNR Constructions as part of the transaction.
The Share Purchase Agreements for the deal were executed on December 24, 2025. The sale was completed on May 29, 2026. KNR Constructions disclosed the completion to BSE and NSE under Regulation 30 of the SEBI Listing Regulations through a filing on May 30, 2026. Indus Infra Trust is a publicly listed infrastructure investment trust registered with SEBI, established to acquire and manage infrastructure assets across sectors.
For the financial year ended March 31, 2026, KPIPL contributed Rs 86.96 crore in turnover, representing 3.22% of KNR Constructions' consolidated turnover. The subsidiary's net worth stood at Rs 243.34 crore, accounting for 4.89% of KNR Constructions' consolidated net worth.
The purchaser does not belong to the promoter or promoter group of KNR Constructions. The transaction does not constitute a related party transaction for KNR Constructions.
