KPIT Technologies Promoter Declares No Fresh Encumbrance on Shares

KPIT Technologies Limited has submitted to the exchanges a promoter declaration under Regulation 31(4) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. Promoter Anupama Patil has confirmed that no fresh encumbrance was created on KPIT Technologies equity shares during the financial year ended March 31, 2026, beyond those already disclosed to the NSE and BSE.

Patil declared that she and persons acting in concert have not directly or indirectly encumbered any KPIT Technologies shares other than what was previously reported during the financial year ended March 31, 2026. The declaration covers all forms of encumbrance including pledges, liens, and any other restrictions on promoter-held equity shares in KPIT Technologies.

Patil is a promoter of KPIT Technologies based in Kothrud, Pune. The signed declaration was addressed to the audit committee of KPIT Technologies and submitted under the SEBI Takeover Regulations.

Copies of the disclosure were filed with both the National Stock Exchange and BSE Limited. The declaration document is dated April 6, 2026, and KPIT Technologies submitted it to the exchanges on June 15, 2026.

KPIT Technologies is listed on the NSE and BSE under the ticker symbol KPITTECH. KPIT Technologies is headquartered at the Rajiv Gandhi Infotech Park in Hinjawadi, Pune, and provides software and engineering services for the automotive and mobility sectors globally.

Regulation 31(4) of the SEBI Takeover Regulations requires promoters and their PACs to report any encumbrance created on company shares to the stock exchanges. The declaration confirms that no new pledges or restrictions were placed on the promoter shareholding during FY26.
