Larsen & Toubro Limited has informed stock exchanges that its wholly owned subsidiary Vyoma-AI Limited incorporated a wholly owned step-down subsidiary, LTA Data Centres Private Limited (LTADCPL). The incorporation was completed on June 20, 2026, and the certificate of incorporation was received from the Ministry of Corporate Affairs on June 25, 2026.
LTADCPL has been incorporated with the objective of establishing data centres and providing related technology enabled services. As a newly formed entity, LTADCPL is yet to commence business operations. The newly incorporated entity has no turnover history as commercial activities have not started.
The authorised capital of LTADCPL is Rs 0.01 crore, comprising 1,000 equity shares of Rs 100 each. Vyoma-AI Limited along with its nominee shareholder has subscribed to the entire paid-up capital of Rs 0.01 crore through cash consideration. This subscription represents 100 percent of the shareholding in LTADCPL, making it a wholly owned step-down subsidiary of Larsen & Toubro Limited.
The disclosure was made under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, read with SEBI master circular dated January 30, 2026. The incorporation does not constitute a related party transaction. No governmental or regulatory approvals were required for the step-down subsidiary.
LTADCPL is registered in India and will operate in the data centre and technology enabled services sector.
