Marico Limited completes integration of Zed Lifestyle subsidiary through voluntary liquidation

Marico Limited has completed the integration of the business of Zed Lifestyle Private Limited, its wholly owned subsidiary, through a voluntary liquidation process. The liquidator distributed Zed's entire business undertaking to Marico on a going concern basis, transferring all assets and liabilities associated with the subsidiary's operations.

The distribution was formalised through a Letter of Distribution issued by the liquidator on June 29, 2026. The business undertaking of Zed now stands consolidated with that of Marico effective from the same date. This brings the wholly owned subsidiary's operations directly under the parent company's management.

The intra-group restructuring was first disclosed by Marico on January 27, 2026 under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015. Marico provided a subsequent update on the restructuring on April 1, 2026. These disclosures were made to both BSE and National Stock Exchange of India, where Marico's equity shares are listed.

The liquidator will now initiate steps to obtain approval from the National Company Law Tribunal, Ahmedabad for the dissolution of Zed. The dissolution represents the concluding phase of the restructuring plan. Once the tribunal grants approval, Zed will be dissolved and will cease to exist as a corporate entity.

The restructuring simplifies Marico's corporate structure by absorbing the entire business undertaking of its wholly owned subsidiary. Zed Lifestyle Private Limited was a wholly owned subsidiary of Marico prior to the integration. The consolidation eliminates an intermediate ownership layer within the Marico group structure.
