Motilal Oswal Financial Services Incorporates Pension Fund Subsidiary MOPF

Motilal Oswal Financial Services Limited has informed the exchanges that its material wholly-owned subsidiary, Motilal Oswal Asset Management Company Limited (MOAMC), has incorporated a wholly-owned step-down subsidiary named Motilal Oswal Pension Fund Management Limited (MOPF). The new entity was incorporated on June 4, 2026, with the communication received by the stock exchanges on June 8, 2026.

MOPF has been established to carry on the business of managing pension fund schemes regulated by the Pension Fund Regulatory and Development Authority (PFRDA) or any other statutory or government authority. This marks the company's entry into the pension fund management segment.

MOAMC received a Letter of Appointment from PFRDA on May 5, 2026, to act as Sponsor of Pension Fund. MOPF will obtain necessary approvals from relevant authorities before commencing its business operations.

Motilal Oswal Financial Services Limited has subscribed to 100 percent of the equity share capital of MOPF in cash at face value. As a newly incorporated entity, turnover details are not applicable for MOPF.

MOPF is classified as a related party since it is a wholly-owned subsidiary of MOAMC, which is a material wholly-owned subsidiary of Motilal Oswal Financial Services Limited. The promoter and promoter group do not have any interest in MOPF except to the extent of their shareholding in the parent company.

The disclosure was made under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, following up on an earlier communication dated May 6, 2026.
