NCLT Sanctions Amalgamation of Two Wholly Owned Subsidiaries into ABFRL

Aditya Birla Fashion and Retail Limited (ABFRL) has secured the sanction of the National Company Law Tribunal (NCLT), Mumbai Bench, for its Scheme of Amalgamation. The NCLT pronounced the order on July 2, 2026.

The scheme provides for the amalgamation of Jaypore E-Commerce Private Limited and TG Apparel & Decor Private Limited into ABFRL. Jaypore E-Commerce is engaged in linen, readymade garments, textiles, coated fabrics, jewellery, accessories and marketplace services. TG Apparel & Decor is not currently carrying any business activity. Both are wholly owned subsidiaries of ABFRL.

The boards of all three companies approved the scheme at their meetings held on February 5, 2026. The appointed date for the amalgamation has been fixed as April 1, 2026.

Since the amalgamating companies are wholly owned subsidiaries, no consideration will pass from ABFRL upon the scheme becoming effective. The shares held by ABFRL in these subsidiaries will stand cancelled, and no new shares will be issued or allotted in lieu thereof.

The amalgamation is intended to simplify the legal and operating structure and streamline business and administrative operations, which is expected to reduce administrative and other operating costs. The consolidation is also expected to provide better financial strength and flexibility for ABFRL.

ABFRL is engaged in the manufacturing and retailing of branded apparels and accessories and operates a chain of retail stores across India. The certified copy of the NCLT order is awaited.
