ONGC, HPCL hold 88.58% stake in MRPL as on March 31, 2026

Mangalore Refinery and Petrochemicals Limited (MRPL) disclosed that its promoter, Oil and Natural Gas Corporation Limited (ONGC), held 1,25,53,54,097 equity shares representing 71.63 per cent of the paid-up share capital as of March 31, 2026. ONGC submitted the disclosure under Regulation 31(4) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

Hindustan Petroleum Corporation Limited (HPCL), a subsidiary of ONGC, held 29,71,53,518 equity shares in MRPL equivalent to 16.96 per cent of the paid-up share capital. The combined shareholding of ONGC and HPCL in MRPL stood at 1,55,25,07,615 equity shares representing 88.58 per cent of the total paid-up capital. HPCL is a direct subsidiary of ONGC and both entities together constitute the promoter group of MRPL.

ONGC confirmed that no encumbrance existed directly or indirectly on the equity shares held by ONGC or HPCL during the financial year ended March 31, 2026. The filing stated that the shares were held free of any charge, lien, pledge, or other form of encumbrance throughout the reporting period.

The disclosure was signed by ONGC's Company Secretary and Compliance Officer Shashi Bhushan Singh. The filing was submitted to both the National Stock Exchange and BSE Limited where MRPL is listed. A copy of the disclosure was also forwarded to MRPL for its audit committee.

The letter was dated April 7, 2026 and the announcement was made public on the stock exchange platforms on June 5, 2026 after market hours. The disclosure was made in ONGC's capacity as the promoter of MRPL under the applicable SEBI regulations.
