PNB Housing Finance board appoints two Independent Directors, recommends Rs 10,000 crore NCD issue

PNB Housing Finance Limited has fixed July 31, 2026 as the record date for members eligible to receive dividend for the financial year 2025-26, subject to shareholder approval at its Annual General Meeting. The board approved these decisions at its meeting held on July 10, 2026.

Shreekant was appointed as an Additional Director in the Independent Director category for a three-year term, effective from July 10, 2026. He has over 34 years of experience in the banking sector and has held leadership positions at SBI, including the role of Chief General Manager. He also headed the real estate and housing vertical at SBI.

Rajiv Kumar Singh was appointed as an Additional Director in the Independent Director category for a three-year term, effective July 10, 2026. He is a Fellow Chartered Accountant with nearly three decades of experience across banking, financial services, audit, risk management, and corporate finance. He has previously served as an Independent Director of Union Bank of India.

Both appointments were made on the recommendation of the Nomination and Remuneration Committee. The board recommended amending the Articles of Association to remove obsolete provisions and align with applicable legal requirements, covering share certificates, document authentication, further issue of shares, shareholder nomination rights, and board composition.

The board recommended the issuance of Non-Convertible Debentures aggregating up to Rs 10,000 crore on a private placement basis in one or more tranches. Detailed terms and conditions of the proposed issuance will be submitted after shareholder approval at the Annual General Meeting.
