PNB Housing Finance Sets July 31 Record Date for FY26 Dividend, Adds Two Independent Directors

PNB Housing Finance Limited fixed July 31, 2026 as the record date to determine members eligible to receive the dividend for the financial year 2025-26. The dividend remains subject to shareholder approval at the 38th Annual General Meeting.

The board of PNB Housing Finance appointed Mr. Shreekant (DIN: 11808336) as an Additional Director in the Independent Director category with effect from July 10, 2026 for a term of three years, on the recommendation of the Nomination and Remuneration Committee. Mr. Shreekant has over 34 years of banking experience and served as Chief General Manager at SBI for more than five years.

As head of SBI's real estate and housing vertical for around two years, Mr. Shreekant drove the housing business to reach Rs 5 trillion in assets under management. He is not related to any director of PNB Housing Finance.

PNB Housing Finance also appointed Mr. Rajiv Kumar Singh (DIN: 03060652) as an Additional Director in the Independent Director category with effect from July 10, 2026 for a term of three years. Mr. Singh has nearly three decades of experience across banking and financial services and previously served as an Independent Director of Union Bank of India, where he chaired the Audit Committee.

The board recommended issuance of Non-Convertible Debentures aggregating up to Rs 10,000 crore on a private placement basis, in one or more tranches, for approval of members at the 38th AGM. Detailed terms will be submitted after finalisation.

PNB Housing Finance recommended alteration of its Articles of Association to members for approval at the AGM. The proposed changes include removal of obsolete provisions and revisions to provisions relating to share certificates, further issue of shares, and shareholder nomination rights.
